Los empresarios y autónomos que emprenden una actividad económica en España tienen motivos para alegrarse. Por fin ha salido la muy esperada Ley de Apoyo a los Emprendedores y su Internacionalización, una reforma legislativa que promete revitalizar aquellos sectores de la economía española más afectados por la crisis económica y facilitar tanto el día a día de los emprendedores que ya ejercen una actividad como de aquellos que quisieran dar inicio a alguna.
Desde hace tiempo, aquellas personas que más empleo crean en este país han señalado las grandes dificultades existentes para establecerse como autónomo o crear una sociedad viable. Estas trabas son de muchas clases, aunque destacan las cargas fiscales y los obstáculos de carácter burocrático.
De este modo, nuestro legislador ha fijado la atención en aspectos tales como la tributación del IVA, la protección de la vivienda propia frente a la responsabilidad patrimonial, la facilitación de la creación de empresas, la reducción de las cuotas de pluriactividad o la incentivación de la inversión extranjera a través de los permisos de residencia. Todas estas medidas prometen liberar una inmensa potencial emprendedora que probablemente hará su impacto en la economía española en los próximos años.
Resumidamente, los aspectos más relevantes de la Ley de Emprendedores son los siguientes:
1) Emprendedor de Responsabilidad Limitada.- La Ley 14/2013 reconoce la vulnerabilidad de la vivienda habitual de los emprendedores y, por ello, la protege frente a las reclamaciones patrimoniales de los acreedores hasta una cantidad de 300.000 euros. Sin embargo, como es lógico, la nueva figura del “ERL” no servirá este propósito para los casos de fraude o negligencia grave.
2) Cultura de emprendimiento.- Tanto en la educación secundaria como en la universitaria, se busca fomentar unas actitudes y habilidades que creará la próxima generación de emprendedores. Destacan aquí las “miniempresas” que podrán constituir los estudiantes de carreras económicas para aprender cómo se lleva a cabo las actividades empresariales.
3) Permisos de residencia para extranjeros.- Los obstáculos administrativos existentes hasta el momento para que un inversor o empresario nacional de un país no miembro de la UE se instale en España se han visto simplificados. Con esta medida se busca atraer el talento y la inversión desde fuera de nuestras fronteras. Igualmente, se prestará asesoramiento a aquellos emprendedores que quisieran acogerse a algún tipo de plan de ayuda al emprendimiento de las instituciones internacionales.
4) Inclusión de empresas en la contratación pública.- Al ser muchas las condiciones exigidas para optar a un contrato administrativo, el Gobierno ha buscado abrir esta posibilidad a un abanico más grande de empresas. De este modo, sólo se exigirá la clasificación previa en los concursos para concursos de más de 500.000 euros, mientras que se buscará establecer uniones de empresas que puedan concurrir con mayor éxito a los concursos públicos.
5) Creación de Empresas.- Utilizando los medios telemáticos y una serie de modelos más sencillos se ha conseguido simplificar y agilizar el proceso de creación de empresas que se espera podrá hacerse en menos de 48 horas. Igualmente, se busca incentivar a los empresarios a volver a emprender su actividad tras un primer fracaso, previéndose una serie de quitas, moratorias y acuerdos extrajudiciales con los acreedores.
6) Criterio de IVA de caja.- Tanto los autónomos como los pymes podrán acogerse a un régimen en el que no tendrán que ingresar el importe del IVA en Hacienda hasta el momento del cobro de la factura.
7) Sociedad Limitada de Forma Sucesiva.- Antes de la reforma, se exigía un desembolso inicial de 3.000 euros para la creación de una S.L. Con la nueva ley se rebaja el desembolso inicial, permitiendo la aportación posterior de un 20% de los beneficios.
8) Tarifa plana de 50 euros.- Los nuevos autónomos podrán disfrutar de una bonificación del 80% en la cuota de la Seguridad Social durante los primeros 6 meses, a la vez que se contemplan reducciones y bonificaciones para los emprendedores discapacitados. Otra medida importante es la reducción de la cuota de pluriactividad, pasando a ser la base de cotización entre el 50% y 85% de la base mínima vigente en ese momento.
9) Apoyos fiscales.- Se ponen en marcha toda clases de incentivos fiscales, ya sea por inversión de beneficios, en las actividades de investigación y desarrollo e innovación tecnológica, a las rentas procedentes de determinados activos intangibles y a la creación de empleo para trabajadores con discapacidad.

Es ist kein Geheimnis und eine bedauerliche Realität dass die Ehescheidungen in unserem Land enorm gestiegen sind. Daher hat der Gesetzgeber in den letzten Jahren große Anstrengungen unternommen, um die die angst und Verwirrungen um das Thema Ehescheidung zu reduzieren.
Inzwischen sind die «internationale Ehescheidungen» zur Normalität geworden. Statistiken der Zeitung “ABC” zeigen, dass zwischen acht und neun Prozent der spanischen Ehescheidungen Ausländer betreffen. Europäische Einwohner, die eine Ehescheidung in Spanien durchfahren möchten sollten mehr über ihre Rechte und deren Einsatz erfahren.
Die neue EU-Gesetzgebung, Verordnung 1259/2010, vom 20. Dezember, hat viel verändert. Sie wird seit dem 21. Juni 2012 eingesetzt. Information über diese neue Gesetzeslage wäre also unbedingt notwendig..
Vor dieser neuen EU-Verordnung erklärte das spanische Zivilgesetzbuch (Artikel 107.2), dass man zur Ehescheidung das Recht der Staatsangehörigkeit der Parteien einsetzen müsste. In der Praxis bedeutet dies, dass der spanische Richter deutsches Recht anwenden muss, somit steigen die Gerichtskosten enorm.
Daher, haben die EU-Gesetzgeber in der neuen Verordnung beschlossen, dass man das Ehescheidungsrecht des Landes in dem man lebt einsetzen muss, um die Prozesskosten zu reduzieren (Artikel 5 – 8). Ausländer können jedoch ihr Recht wählen, wenn sie es ausdrücklich erklären.
Da man die Möglichkeit hat, zwischen dem ausländischen und spanischen Gerichten zu wählen, sollte man sich vorher genau informieren, da diese Auswahl einen erheblichen Einfluss auf den Erfolg und die Geschwindigkeit des Prozesses haben kann.
Die derzeitige EU-Verordnung 2201/2003 ermöglicht die Ehecheidung in folgenden Wohnverhältnissen:
a) In dessen Hoheitsgebiet
– beide Ehegatten ihren gewöhnlichen Aufenthalt haben oder
– die Ehegatten zuletzt beide ihren gewöhnlichen Aufenthalt hatten, sofern einer von ihnen dort noch seinen gewöhnlichen Aufenthalt hat, oder
– der Antragsgegner seinen gewöhnlichen Aufenthalt hat oder
– im Fall eines gemeinsamen Antrags einer der Ehegatten seinen gewöhnlichen Aufenthalt hat oder
– der Antragsteller seinen gewöhnlichen Aufenthalt hat, wenn er sich dort seit mindestens einem Jahr unmittelbar vor der Antragstellung aufgehalten hat, oder
– der Antragsteller seinen gewöhnlichen Aufenthalt hat, wenn er sich dort seit mindestens sechs Monaten unmittelbar vor der Antragstellung aufgehalten hat und entweder Staatsangehöriger des betreffenden Mitgliedstaats ist oder, im Fall des Vereinigten Königreichs und Irlands, dort sein «domicile» hat;
b) dessen Staatsangehörigkeit beide Ehegatten besitzen, oder, im Fall des Vereinigten Königreichs und Irlands, in dem sie ihr gemeinsames «domicile» haben.

No es ningún secreto que la lamentable realidad de divorcio está en aumento y, mientras que los matrimonios modernos son significativamente más estables que otros arreglos sentimentales, tales como la simple convivencia de hecho, nuestros legisladores han hecho un gran esfuerzo en los últimos años para reducir la ansiedad y la confusión que rodea el procedimiento de divorcio.
Sin embargo, en esta materia es necesario hacer alguna mención de lo frecuentes que son los llamados «divorcios internacionales» hoy en día. Las estadísticas compiladas por el diario ABC estiman que en entre ocho y nueve por ciento de los divorcios españoles uno de los cónyuges es extranjero, mientras que en entre cuatro y cinco por ciento los dos cónyuges son extranjeros. Es por esta razón que a aquellos extranjeros o españoles casados con extranjeros que están considerando presentar una demanda de divorcio en España les podría interesar saber algo más acerca del procedimiento ahora vigente, así como la ley que debe aplicarse.
En estos asuntos, es absolutamente esencial tener en cuenta la reciente legislación de la Unión Europea, ya que el panorama confuso que existía entre los países europeos en materia de divorcio internacional se ha simplificado en gran medida gracias al nuevo Reglamento 1259/2010, del 20 de diciembre, que entró en vigor el 21 de junio 2012.
Antes de la entrada en vigor del presente Reglamento de la UE, el Código Civil español (artículo 107.2) declaró que divorcio debería regirse por la ley de la nacionalidad que ambas partes tuviesen en común. En términos prácticos, esto significaría que si ambos cónyuges fueran nacionales del Reino Unido, el juez español tendría que aplicar la ley británica, una situación que frecuentemente costaba a los residentes extranjeros grandes cantidades de dinero en costas y complicaba el procedimiento considerablemente.
Con buen criterio, el legislador decidió en el nuevo Reglamento que la ley de aplicación, en defecto de elección expresa, debería ser la ley del país en que residan los cónyuges en el momento de la presentación de la demanda de divorcio, con lo que se reducen enormemente las costas (artículos 5 al 8). Sin embargo, los residentes extranjeros todavía pueden elegir que la ley de su nacionalidad común se aplique, si declaran expresamente esta intención.
Sin embargo, es de destacar que ciertas cuestiones relacionadas con el divorcio han sido excluidas de la regulación de la UE y continúan regulándose por el sistema tradicional, como puede ser la custodia de los hijos o los efectos económicos del divorcio.
También es conveniente saber en qué país se debe solicitar el divorcio. Esto es relevante, ya que podría ser posible escoger entre los tribunales de un Estado extranjero y los de España y tal elección podría incidir en la velocidad del proceso e incluso en el resultado del caso.
Con el objeto de dar un marco de referencia, se estima que un caso de divorcio en Inglaterra generalmente tarda entre cinco y siete meses para concluirse y cuesta entre uno y dos mil libras esterlinas. Por otro lado, estas cifras en España son de entre uno y dos meses (mutuo acuerdo) y entre cuatro y ocho meses (divorcio unilateral), dependiendo el precio de las variables del caso. También cabe destacar que las expectativas económicas impuestas a la parte económicamente más «fuerte» en procesos de divorcio tienden a ser mayores en el Reino Unido que en España, mientras que la parte «débil» tiende a beneficiarse más.
En la actualidad, la legislación europea (Reglamento 2201/2003) permite solicitar el divorcio en alguno de los siguientes lugares:
a) El domicilio habitual de los cónyuges.
b)La última residencia habitual (siempre que alguno de los cónyuges siga viviendo allí).
c) La residencia habitual de cualquiera de los cónyuges, si el divorcio es por mutuo acuerdo.
e)La residencia habitual del demandante si ha vivido allí al menos durante un año inmediatamente antes de interponer la demanda (sólo seis meses si es nacional de ese país o tiene su domicilio de origen allí).
f) El país de nacionalidad o residencia común de ambos cónyuges.
